Dovre’s owners will decide on the Nyab deal at an extraordinary general meeting in December

Personnel rental and consulting company Dovre Group will hold an extraordinary general meeting at its headquarters in Espoo on December 16. On the table of the general meeting is a large business deal, in which Dovre would sell a large part of its business operations to a Swedish infrastructure developer Nyabillewhich was listed on the Helsinki Stock Exchange until the summer before moving to Stockholm.

Earlier this week, Dovre signed a conditional agreement with Nyabi, according to which Dovre will sell its entire Project Personnel business and its Norwegian Consulting business to Nyabi for an estimated price of 34 million euros. The debt-free enterprise value is determined by the estimated operating profit of 4.3 million euros in 2024 with a factor of seven.

The implementation of the deal is estimated to take place at the beginning of January.

The general meeting still has to bless the deal. The owners who own more than 40 percent have already announced that they will vote in favor of the deal.

The general meeting’s decision list also includes changing Dovre’s articles of association.

Since Dovre no longer operates in the project personnel industry after the sale, the company must change its articles of association accordingly. The wording of the articles of association regarding the industry would become more flexible, so that instead of providing project personnel, the company can provide project personnel.
