Lawyers did not see signs of a corporate raid on Wildberries

Lawyers did not allow even a theoretical possibility of a corporate raid on a company like Wildberries. The experts expressed their opinion at the request of RB.RU.

Vladimir Komarov, head of the criminal practice at the Intercession law firm, explained that in this situation it is impossible to talk about the presence or absence of signs of a raider takeover is impossiblesince it is unknown how the re-registration or transfer of Wildberries’ ownership takes place, if this happens.

According to lawyer Igor Apostol, there are no signs of a corporate raid on the company, whose founders are Vladislav and Tatyana Bakalchuki. The very concept of “corporate raid” is not disclosed in the criminal and civil legislation of the Russian Federation, the lawyer noted.

“It is practically impossible to admit even a theoretical possibility of taking over an enterprise like Wildberries, which is the largest taxpayer, in 2024, because in addition to the publicity of the company and its owners, Russian law enforcement agencies will respond immediately at the first sign“, Igor Apostol emphasized.

On Tuesday, July 23, the head of Chechnya, Ramzan Kadyrov, wrote that Wildberries co-owner Vladislav Bakalchuk, the husband of the company’s founder, Tatyana Bakalchuk, told him about the “raider takeover” of Wildberries’ business.

Later, Tatyana Bakalchuk herself responded to the statement – she called what was happening “not a raider takeover, but a divorce” Wildberries’ press service also responded, stating that “details of the divorce proceedings and emotional details are of no interest to business publications.”

Vladyslav Bakalchuk statedthat he will fight for his family and do everything to save the business “for us and for our children.”


On the same day, Wildberries updated the offer, adding a clause about assignment of all rights to third partiesin particular OOO RVB. It is a joint venture between Wildberries and the Russ group.

RVB LLC was established on July 4, 2024, its CEO is Robert Mirzoyan, the executive director of the Russ group. 26 Wildberries asset companies were transferred to the joint venture. Wildberries owns 65% of the new legal entity, the remaining 35% is owned by a structure owned by the Russ group.
